Welcome to Electronic Technical Services, Inc. (“ETS,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our products, services, and website. By using ETS products or services, you agree to these Terms. If you do not agree, please do not use our products or services.
1. Definitions
- Products: Audio surveillance equipment, microphones, interfaces, base stations, intercom systems, and custom audio solutions manufactured or distributed by ETS.
- Services: Electronics contract manufacturing, engineering services, concept-to-product development, and any other offerings provided by ETS.
- Customer: Any individual or entity purchasing or using ETS products or services.
- Custom Solutions: Tailored product designs or services developed by ETS based on customer requests.
2. Scope of Services
ETS specializes in the design, manufacturing, and distribution of audio surveillance equipment and custom audio solutions. Additionally, we provide electronics contract manufacturing and engineering services to meet diverse customer needs.
3. Eligibility
To use ETS products or services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction.
- Comply with all applicable federal, state, and local laws and regulations.
4. Intellectual Property
All intellectual property, including but not limited to trademarks, trade names, logos, product designs, and website content, is the exclusive property of ETS. Unauthorized reproduction, distribution, or use of ETS intellectual property is prohibited without prior written permission.
5. Product Use
- Lawful Use: ETS products are intended solely for lawful purposes. Customers are responsible for ensuring compliance with all applicable surveillance and privacy laws.
- Liability for Misuse: ETS is not responsible for any legal consequences resulting from the misuse of its products or failure to comply with applicable laws.
6. Custom Solutions
- A written agreement outlining the scope, specifications, and costs must be signed by both parties.
- ETS retains intellectual property rights to all designs and innovations created unless explicitly stated otherwise in the agreement.
- Customers agree to indemnify ETS against any claims arising from the use of custom solutions.
7. Orders and Payments
- Order Acceptance: All orders are subject to acceptance by ETS.
- Payment Terms: Payments must be made according to the terms specified on the invoice. Acceptable payment methods and security measures are outlined during the checkout process.
- Taxes and Fees: Customers are responsible for all applicable taxes, duties, and fees associated with their orders.
- Cancellations: Orders may be canceled only if approved by ETS, subject to applicable fees.
8. Shipping and Delivery
- Shipping Terms: ETS ships domestically and internationally, subject to export regulations.
- Processing Time: Typical order processing times are outlined during checkout. Delays due to circumstances beyond ETS’s control are not ETS’s responsibility.
- Customs and Duties: Customers are responsible for any customs fees or duties for international shipments.
- Risk of Loss: Risk of loss transfers to the customer upon delivery to the carrier.
9. Returns and Warranties
- Limited Warranty: ETS provides a limited warranty against defects in materials and workmanship. Warranty terms are included with each product.
- Unauthorized Use: Modifications or misuse void the warranty.
- Returns: Returns require prior authorization from ETS and an accompanying Return Merchandise Authorization (RMA) number. Customers are responsible for return shipping costs unless otherwise agreed.
10. Limitation of Liability
- ETS is not liable for indirect, incidental, consequential, or punitive damages arising from the use of its products or services.
- ETS’s total liability is limited to the amount paid for the product or service giving rise to the claim.
- ETS is not responsible for data loss, business interruptions, or unauthorized third-party use of its products.
11. Privacy Policy
Your use of ETS products and services is subject to our Privacy Policy. This document explains how we collect, use, and protect your personal information. You can find this document at the bottom of the home page in the footer.
12. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles.
- All disputes will be resolved through binding arbitration in Albuquerque, New Mexico, unless otherwise required by law.
- Customers may pursue claims in small claims court if they meet the court’s jurisdictional requirements.
- Class action lawsuits are not permitted under these Terms.
13. Indemnification
Customers agree to indemnify and hold harmless ETS, its affiliates, and employees from any claims, damages, or expenses arising from:
- Misuse of ETS products.
- Violation of these Terms.
- Breach of applicable laws or regulations.
14. Force Majeure
ETS is not liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, pandemics, supply chain disruptions, or governmental actions.
15. Changes to Terms
ETS reserves the right to update or modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our products or services constitutes acceptance of the revised Terms.
